ADDENDUM: GBP Management Terms and Conditions

1. GBP Management

The Restaurant agrees to authorize MenuSifu to manage and optimize its Google Business Profile (“GBP”) during the term of this Agreement. MenuSifu may, with the Restaurant’s authorization, update business hours (including holidays), maintain active website links, design/update/maintain menu pages, improve business descriptions and photos in accordance with Google’s standards, and, upon consent, monitor and respond to customer reviews.

2. Account Access & Ownership

If the Restaurant already owns a GBP and is the Primary Owner, MenuSifu willrequest Manager Access. If the listing is controlled by an unauthorized representative, MenuSifu will assist the Restaurant in reclaiming ownership. If the Restaurant does not have a GBP, MenuSifu may create one on its behalf and designate the Restaurant as Owner while MenuSifu serves as Manager.

3. Exclusive Authorization

The Restaurant confirms that during the term of this Agreement, it authorizes MenuSifu exclusively to manage its GBP. The Restaurant agrees not to grant GBP management rights, administrative access, or ownership verification to anythird party without MenuSifu’s prior written consent.

If MenuSifu discovers that the Restaurant has authorized multiple parties tomanage the GBP, MenuSifu shall provide written notice to the Restaurant specifying the violation. The Restaurant shall have five (5) business days to remedy the violation by removing all unauthorized access. If the violation is not remedied within this period, MenuSifu may, at its discretion and withoutliability, suspend or terminate services in accordance with the termination provisions below.

4. Suspension Risk & Compliance

The Restaurant acknowledges that authorizing multiple third parties to manage its GBP may trigger Google’s security review protocols, resulting in temporary orpermanent suspension, restriction, or removal of the GBP listing. Google may suspend accounts due to suspicious access patterns, and such suspensions are beyond MenuSifu’s control.

The Restaurant agrees that:

●     Multi-party access is the primary cause of GBP suspension incidents;

●     The Restaurant bears full responsibility for consequences arising from violationsof the Exclusive Authorization clause;

●     MenuSifu will not be liable for Google-initiated suspensions resulting from theRestaurant's unauthorized multi-party access; and

●     MenuSifu shall maintain compliance with Google’s official policies and shall not knowingly engage in activities that would violate such policies.

5. Limitation of Liability

MenuSifu commits to operate in compliance with Google’s official policies, prudent practices, and documented guidelines to maintain account integrity.

MenuSifu shall not be liable for:

●     Anysuspension, restriction, or removal caused by the Restaurant's violation of the Exclusive Authorization clause;

●     Suspensions resulting from the Restaurant’s direct actions, including but not limited to: verifying ownership through unauthorized channels, granting access to third parties, or making unauthorized changes to GBP settings;

●     Impacts of changes to Google’s policies, algorithms, or account verification procedures;

●     Actions taken by Google in response to Restaurant's non-compliance with Google’s terms of service;

●     Loss of business, revenue, or data except where caused by MenuSifu’s gross negligence or willful misconduct.

MenuSifu assumes responsibility only for losses directly caused by MenuSifu’s failure to comply with Google’s documented policies or MenuSifu’s negligence in performing authorized GBP management services.

6. Access Revocation & Transition Period

The Restaurant may revoke MenuSifu’s GBP access only after this Agreement has terminated in accordance with the Master Services Agreement. Upon termination,the Restaurant agrees to:

●     Retain MenuSifu as Manager for a transition period of ten (10) business days;

●     Duringthe transition period, MenuSifu shall transfer all GBP content, documentation,and access logs to the Restaurant;

●     The Restaurant shall not add any third-party manager during the transition period;

●     After the transition period, the Restaurant may remove MenuSifu from GBP settings directly.

MenuSifu shall confirm the removal and ensure no further access to the GBP within three(3) business days of removal notification.

7. Data Security & Privacy Compliance

MenuSifu acknowledges that it has access to the Restaurant’s GBP account information, which may include sensitive business data, customer reviews, and operational information. MenuSifu commits to:

●     Maintain all GBP access credentials in a secure manner and limit access to authorized personnel only;

●     Not disclose, share, or transfer GBP credentials to any third party without the Restaurant’s prior written consent;

●     Comply with applicable data protection laws and Google’s Data Processing Terms;

●     Maintain appropriate technical and organizational security measures to protect against unauthorized access, alteration, or loss of GBP data;

●     Promptly notify the Restaurant of any suspected or confirmed unauthorized access to the GBP account;

●     Upon termination of services, ensure that all access credentials are securely deactivated and that no residual access remains.

8. Google Independence & Non-Affiliation

MenuSifu is an independent business partner of the Restaurant and is not an employee, agent, or official representative of Google or its affiliates. MenuSifu’s relationship with Google is limited to authorized use of Google Business Profile management tools pursuant to Google’s terms of service.

MenuSifu does not:

●     Represent that it has any special relationship, authority, or partnership with Google;

●     Actas an official Google agent or Google-certified specialist;

●     Have the ability to override, bypass, or influence Google's suspension or enforcement decisions;

●     Guarantee specific outcomes regarding GBP performance, rankings, or Google’s automated systems.

9. Governing Law & Jurisdiction

This addendum shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. The parties agree that any dispute arising out of or relating to this addendum shall be subject to the dispute resolution mechanisms outlined in the Master Services Agreement.

10. Notices

All notices required or permitted under this addendum shall be in writing and shallbe delivered by: (a) personal delivery; (b) overnight courier service (such as FedEx or UPS); (c) certified or registered mail, return receipt requested; or(d) email to the addresses specified by each party. Notices by email shall be deemed received upon confirmation of delivery.
